1. Introduction
Welcome to BXPay, a multi-currency payment and financial access technology platform operated by SX Gateway FZE LLC, a company incorporated in the United Arab Emirates (“we,” “our,” or “us”).
BXPay provides users with access to card-based payment solutions — including virtual and physical cards — and related payment and account access services powered by licensed third-party financial institutions and technology providers (collectively, the “Service Partners”).
By accessing or using BXPay (the “Platform”), you agree to these Terms of Use (“Terms”). If you do not agree with these Terms, you must discontinue use of the Platform immediately.
2. Nature of the Service
BXPay provides technological access to digital payment cards, fiat on-ramp and off-ramp functionality, and account management tools through a secure, non-custodial platform model.
BXPay does not itself hold, manage, safeguard, control, or custody customer funds. All balances, transactions, conversions, and payment operations are executed, processed, and maintained by regulated and licensed third-party financial infrastructure partners.
BXPay operates solely as a software interface and onboarding layer and does not act as a bank, payment institution, electronic money institution, or financial custodian.
3. Eligibility
- Be at least eighteen (18) years old, or the legal age of majority in your jurisdiction
- Successfully complete all applicable identity verification, KYC, and AML checks required by Service Partners
- Not reside in, be located in, or access the Platform from jurisdictions subject to sanctions, embargoes, or regulatory restrictions
- Comply with all applicable laws, regulations, and partner requirements
BXPay reserves the right to restrict or deny access at its discretion to comply with legal or regulatory obligations.
4. Account & Verification
You are responsible for providing accurate, complete, and up-to-date information when creating and maintaining your account.
You are solely responsible for safeguarding your login credentials and any activity conducted through your account. BXPay and its Service Partners reserve the right to suspend, restrict, or terminate access if false, misleading, or incomplete information is provided, or if compliance obligations are not met.
5. Non-Custodial Relationship
BXPay provides access to platform technology only.
Neither BXPay, SX Gateway FZE LLC, nor Connect Software Ltd. directly holds, transfers, manages, or controls user funds.
All deposits, withdrawals, conversions, balances, and settlement activities are handled exclusively by regulated third-party financial institutions and service providers, under their own licenses, jurisdictions, and contractual terms.
Your relationship with such Service Partners is independent and governed by their respective agreements, policies, and regulatory frameworks.
6. Use of Cards
BXPay cards (virtual and physical) are issued under license by regulated financial institutions through Service Partners.
Subject to applicable limits, fees, and partner terms, you may:
- Add funds through supported methods
- Make card-based payments
- Withdraw funds where supported
Any fraudulent activity, misuse, chargeback abuse, or violation of applicable rules may result in immediate suspension or termination of access.
7. Fees
All applicable fees — including loading, withdrawal, exchange, inactivity, or service-related fees — are disclosed transparently within your BXPay dashboard or related documentation.
BXPay reserves the right to update or adjust fees in response to changes imposed by Service Partners, network rules, or regulatory requirements.
8. Prohibited Activities
You agree not to use BXPay for any unlawful, prohibited, or abusive activities, including but not limited to:
- Money laundering, terrorism financing, or financial crime
- Fraud, deception, or misrepresentation
- Gambling, high-risk financial services, or prohibited content
- Activities violating sanctions, export controls, or tax laws
BXPay may take appropriate action, including suspension or termination, if prohibited activity is suspected.
9. Limitation of Liability
BXPay provides the Platform on an “as is” and “as available” basis.
To the fullest extent permitted by law, BXPay, SX Gateway FZE LLC, Connect Software Ltd., and their affiliates shall not be liable for any indirect, incidental, consequential, or special damages arising from use of the Platform or reliance on third-party services.
10. Indemnification
You agree to indemnify and hold harmless BXPay, SX Gateway FZE LLC, Connect Software Ltd., and all Service Partners from any claims, losses, damages, or liabilities arising from your misuse of the Platform or breach of these Terms.
11. Amendments
BXPay may modify or update these Terms at any time. Updated Terms become effective upon publication. Continued use of the Platform constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles.
